Marc,

I know my membership has lapsed, but I will pipe up on the DMA's new
problems with the by-laws.

You are 100% correct about the by-laws for the DMA.  Only during 
meetings or special votes is when there can be a vote and it must be 
a vote of the majority of members (51% or greater). This includes 
officers, since they are members as well.

During these votes, if they are in person, the lawyer representing 
the DMA should be present to accept the ammendment into the bylaws.  
And if the DMA does not have a lawyer, they really should hire one.  
Electronic voting should be done sparingly and not for amending by-
laws.

I'm only saying this out of personal experience from my condo 
association. I know they're separate types of entities, but from my 
understanding, by-law ammendments should always be voted on in the 
presence of the association's lawyer.

Another way to get the 51% requirement - since I know it will be hard 
to assemble enough owners in person - is to have owners vote via a 
proxy ballot.  The ballot is sent to owners 30 days before the live 
voting and their votes are tallied at that time the rest are 
tallied.  I believe the DMA has done this before.
